Terms of Service

1. Acceptance of Terms
Welcome to Daychat. These Terms of Service ("Terms") constitute a legally binding agreement between you and Jean-Sébastien Wallez ("we", "us", or "our"), operating from Paris, France, governing your access to and use of the Daychat iOS application ("the App" or "Service").
By downloading, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the App.
2. Eligibility
You must be at least 16 years old to use the App. By using the App, you represent and warrant that:
- You are at least 16 years of age
- You have the legal capacity to enter into these Terms
- You will comply with these Terms and all applicable laws and regulations
If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Service Description
Daychat is an iOS application that provides the following functionality:
- Calendar Integration: Connect to your Google Calendar to access your events and schedule
- AI-Powered Chat Interface: Interact with your calendar data through natural language conversations
- Event Management: View, create, modify, and delete calendar events through conversational commands
- Schedule Insights: Get intelligent answers about your schedule, availability, and upcoming events
The App uses artificial intelligence technology provided by OpenAI to process and respond to your queries. The Service is provided free of charge, though standard data rates from your mobile carrier may apply.
4. Google Account and Calendar Access
4.1 Account Requirements
To use the App, you must:
- Have a valid Google account
- Grant the App permission to access your Google Calendar data
- Maintain an active internet connection for the App to function
4.2 Scope of Access
When you authorize the App to access your Google Calendar, we will:
- Access and store locally up to 120 days of your calendar data (60 days past and 60 days future)
- Read your calendar events and their details
- Create, modify, and delete calendar events upon your instruction
- Access basic profile information (name, email, profile picture) for authentication
4.3 Revoking Access
You may revoke the App's access to your Google Calendar at any time through your Google Account settings. Revoking access will prevent the App from functioning but will not automatically delete data already stored locally on your device.
5. User Responsibilities and Conduct
5.1 Account Security
You are responsible for:
- Maintaining the security and confidentiality of your Google account credentials
- All activities that occur through your use of the App
- Notifying us immediately of any unauthorized use of your account
5.2 Prohibited Uses
You agree not to:
- Use the App for any illegal purpose or in violation of any laws
- Attempt to reverse engineer, decompile, or disassemble the App
- Interfere with or disrupt the App's functionality or servers
- Use the App to transmit any malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to any portion of the App or related systems
- Use automated systems or software to extract data from the App
- Remove, obscure, or alter any proprietary rights notices in the App
- Use the App in any manner that could damage, disable, or impair the Service
6. Data Usage and Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:
- Your calendar data is stored locally on your device
- We use OpenAI's API to process your chat queries
- We do not store your calendar data on our servers
- We comply with GDPR and applicable data protection laws

7. Intellectual Property Rights
7.1 Our Intellectual Property
The App, including its original content, features, functionality, source code, and design, is owned by Jean-Sébastien Wallez and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in the App except for the limited license to use the App as set forth in these Terms.
7.2 Your Calendar Data
You retain all rights to your calendar data. By using the App, you grant us a limited license to access, process, and display your calendar data solely for the purpose of providing the Service to you.
7.3 Feedback
If you provide us with any feedback, suggestions, or ideas about the App, you grant us an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free license to use, reproduce, modify, and exploit such feedback for any purpose without compensation to you.
8. Third-Party Services
The App integrates with third-party services, including:
- Google Calendar API: Subject to Google's Terms of Service and Privacy Policy
- OpenAI API: Subject to OpenAI's Terms of Use and Privacy Policy
We are not responsible for the availability, accuracy, or content of these third-party services. Your use of these services is at your own risk and subject to their respective terms and policies.
9. Service Availability and Modifications
9.1 Service Availability
We strive to provide reliable and uninterrupted service, but we cannot guarantee that:
- The App will be available at all times or without interruption
- The App will be free from errors, bugs, or security vulnerabilities
- Any defects will be corrected
- The App will meet your specific requirements
9.2 Modifications to the Service
We reserve the right to:
- Modify, suspend, or discontinue any aspect of the App at any time
- Impose limits on certain features or restrict access to parts or all of the App
- Update the App to improve functionality, security, or performance
We will make reasonable efforts to notify you of material changes to the Service.
10. Termination
10.1 Termination by You
You may stop using the App at any time by:
- Uninstalling the App from your device
- Revoking the App's access to your Google Calendar
10.2 Termination by Us
We reserve the right to suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion.
10.3 Effect of Termination
Upon termination:
- Your right to use the App will immediately cease
- You must delete the App from your device
- Locally stored calendar data will remain on your device until you delete the App
- Sections of these Terms that by their nature should survive termination will remain in effect
11. Disclaimers and Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the App will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of the App's content or functionality
We do not warrant that the App will meet your requirements or that any errors will be corrected. You use the App at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL JEAN-SÉBASTIEN WALLEZ BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Loss or corruption of calendar data
- Damages arising from your use or inability to use the App
- Damages arising from third-party services (Google Calendar, OpenAI)
- Damages resulting from unauthorized access to your data
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED €100.
13. Indemnification
You agree to indemnify, defend, and hold harmless Jean-Sébastien Wallez from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the App
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your violation of any applicable laws or regulations
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.
14.2 Jurisdiction
Any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Paris, France.
14.3 Informal Resolution
Before filing any formal legal action, you agree to first contact us at js.wallez@gmail.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve any disputes amicably.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
15.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Effective Date" at the top of these Terms
- Post the updated Terms in the App and on our website
- For material changes, notify you through the App or via email
Your continued use of the App after any changes indicates your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.
